1. Acceptance of Terms

By accessing or using the services provided by TallView AI LLC (“TallView AI,” “we,” “our,” or “ us”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These terms apply to all visitors, users, and clients of our AI voice agent and messaging platform.

2. Description of Services

TallView AI provides AI-powered voice and messaging solutions designed to answer phone calls, send and receive text messages, qualify leads, schedule appointments, run follow-up and outreach cadences, and handle customer inquiries on behalf of your business. Our services include but are not limited to:

  • Custom AI voice and SMS teammate setup and configuration.
  • 24/7 automated call answering and handling.
  • Outbound and two-way SMS messaging, reminders, and follow-up cadences.
  • Calendar and CRM integrations.
  • Call recording, transcription, and analytics.
  • Live call transfer capabilities.
  • Client dashboard and reporting.

3. Account Responsibilities

When using our services, you agree to:

  • Provide accurate and complete information during onboarding and registration.
  • Maintain the security of your account credentials.
  • Promptly notify us of any unauthorized use of your account.
  • Use our services only for lawful purposes and in accordance with applicable regulations.
  • Ensure that your use of AI voice and messaging teammates complies with all applicable telecommunications laws and regulations in your jurisdiction.

4. Messaging Consent and Compliance (Client Responsibility)

If you use our platform to send voice or SMS communications to your own customers or contacts, you are the sender of record and are solely responsible for obtaining and documenting valid prior express consent from each recipient before any message is sent. You agree to comply with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA messaging principles, A2P 10DLC carrier requirements, and all applicable state and federal laws, including honoring opt-out (STOP) and help (HELP) requests and maintaining records of consent. You agree to maintain your own customer-facing privacy policy and messaging disclosures as required by carriers and law. TallView AI provides the tooling to support compliant messaging but does not provide legal advice, and you remain responsible for your campaigns and content.

5. Acceptable Use

You agree not to use our services to:

  • Engage in any unlawful, harassing, or fraudulent activities.
  • Make calls or send messages that violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM, or similar regulations.
  • Distribute spam, unsolicited communications, or engage in robocalling or messaging recipients who have not consented.
  • Send messages containing content prohibited by carriers, including the regulated “SHAFT” categories (sex, hate, alcohol, firearms, tobacco), illegal substances, or other restricted content.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Interfere with or disrupt the integrity or performance of our services.
  • Attempt to gain unauthorized access to our systems or networks.

6. Intellectual Property

All content, features, and functionality of our services — including but not limited to software, designs, text, graphics, and logos — are the exclusive property of TallView AI LLC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all content, scripts, and business information you provide to us for the purpose of training and configuring your AI teammates.

7. Payment Terms

Subscription fees are billed monthly in advance on your billing date. All fees are non-refundable unless otherwise stated. Overage charges for usage exceeding your plan's included allocation are billed at the end of each billing cycle at the rate specified in your plan.

We reserve the right to modify our pricing with 30 days' advance notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

8. Service Availability

We strive to maintain high availability for our services. However, we do not guarantee uninterrupted service and are not liable for any downtime, delays, or service interruptions caused by factors beyond our reasonable control, including but not limited to network outages, carrier or third-party service disruptions, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by law, TallView AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business, data, or goodwill, arising out of or in connection with your use of our services.

Our total aggregate liability for any claims arising under these terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless TallView AI LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your messaging campaigns and consent practices, your violation of these terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate the service agreement at any time with 30 days' written notice. We reserve the right to suspend or terminate your access immediately if you violate these terms or engage in conduct that we determine, in our sole discretion, to be harmful to our business or other users.

Upon termination, your right to use our services will cease immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be securely deleted.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of our services constitutes acceptance of the revised terms.
